Independent Advisory  ·  Mumbai

Judgement you can build on.

Navansh Advisory works on the decisions that carry consequence. A transaction. A listing. A board question. A regulator's letter. A set of accounts that has to withstand scrutiny.

20+Years of combined seniority
100+Advisory engagements
40+Due diligence assignments
24+CFO mandates
The firm

An independent advisory firm built around senior signing capability.

We advise founders, promoter groups, listed companies, funds and institutions. The work spans transactions, secretarial and listing compliance, audit and assurance, tax, CFO mandates, and governance including social audit under the SEBI framework.

The firm is deliberately small and deliberately senior. Every mandate is led by a qualified professional who has held the role from the inside, in listed groups, funds, regulated trusts and government engagements, rather than observed it from a distance.

Practice

Six practice areas, one point of accountability

Mandates are scoped across practices where the problem demands it. You deal with one team, not four vendors.

Transactions, Valuation & Diligence

Buy-side and sell-side M&A, secondaries, primary rounds and structured exits, with the valuation and diligence that sit under them. Term sheets, share purchase agreements, shareholders' agreements and subscription documents drafted and negotiated in-house.

  • Deal structuring and documentation
  • Valuation and quality of earnings
  • Legal, financial and governance diligence

Strategic & Capital Advisory

Corporate restructuring and holding structure design, alongside the funding that follows from it. Inbound and outbound structures under FEMA and the exchange control framework, domestic raising, and the instrument choices underneath a round.

  • Corporate and group restructuring
  • Foreign investment and FEMA structuring
  • Debt, equity and hybrid instruments

Assurance & Risk Advisory

Independent assurance over financial and operational reporting, with the risk review that sits alongside it. Internal controls design and testing, process and delegation review, and remediation of findings before they reach a regulator or a board.

  • Internal controls and process review
  • Enterprise and regulatory risk
  • Reporting and inspection readiness

CFO & Financial Advisory

Outsourced and part time CFO mandates for businesses that need a finance function they do not yet want to build, and project documentation that lenders accept without rework.

  • MIS and board reporting
  • Detailed project reports and projections
  • Subsidy and scheme advisory

Secretarial, Listing & Regulatory

SEBI LODR for equity and high value debt listed entities. InvIT and AIF compliance, public listing at NSE and BSE, ECB listing at SGX, and securities issuances of every kind.

  • Listed and trust compliance
  • IPO, NCD, QIP and rights issuances
  • Board and committee process

Governance, ESG & Impact

Board and fiduciary counsel, policy architecture, and assurance for capital carrying a social mandate. Social audit is conducted under the SEBI framework by a registered auditor.

  • Board and policy frameworks
  • Social audit and impact assessment
  • BRSR and ESG reporting
Capability

The professional who scopes the work is the one who signs it.

Navansh does not staff mandates through a pyramid. The team combines the following qualifications.

Chartered Accountants

ICAI members, including senior assurance leadership and a Big Four background, leading assurance, financial and CFO mandates.

Company Secretaries

ICSI members, including a Fellow who has served as Compliance Officer to listed issuers and SEBI registered trusts.

Law Graduates

Corporate legal capability held in-house across transaction documentation, commercial contracting and regulatory matters.

SEBI-Registered Social Auditor

A scarce registration, held alongside a Social Impact Strategy credential from the University of Pennsylvania.

Experience

Representative work

Engagements are described without client identification. Details are available under a confidentiality arrangement.

Capital Markets

  • Public listing of an infrastructure investment trust at NSE and BSE, run end to end
  • External commercial borrowing listed at the Singapore Exchange
  • NCD, QIP, rights and preferential issuances for listed issuers

Transactions

  • Acquisition of a national consumer brand by a listed group, led to closing
  • Strategic sale of a technology platform to a listed logistics company
  • Thirty or more early stage, growth stage and secondary transactions

Assurance

  • Internal audit of state power transmission and distribution utilities
  • Statutory audit and annual accounts for central ministry departments
  • Regulatory audits and inspections closed with no critical observations

Impact

  • Social impact assessment of a financial services company across six or more cities
  • ESG assessments and legal due diligence for international funds and foundations
  • Governance frameworks for foundations, trusts and CSR programmes
How we work

Three commitments that shape every mandate

Senior throughout

The professional who scopes the mandate is the professional who delivers it. There is no handover to a junior bench after the pitch.

Evidence before opinion

Positions are grounded in the regulation, the circular or the accounts as they actually read. Where the position is unsettled, we say so.

Scoped, not open ended

Deliverables, timelines and fees are defined at the outset. Changes in scope are agreed, not assumed.

Most engagements begin with a short conversation about the decision in front of you, what has already been tried, and whether we are the right firm for it.
